These Terms govern your use of the Nexum Finance & AI website, the Executive Diagnostic, and any associated digital tools (collectively, the “Services”). By accessing the Services you agree to these Terms. Advisory engagements are governed by a separate engagement letter signed by both parties.

1. Nature of information

Content on this site, including the Executive Diagnostic report, is provided for informational and decision-support purposes. It does not constitute legal, tax, audit, accounting, or investment advice and should not be relied upon as the sole basis for any business decision. A formal advisory engagement is required for tailored recommendations.

2. AI-assisted outputs

Some Nexum outputs — scores, narratives, and benchmarks — are generated with the assistance of AI models and reviewed by a senior advisor. Despite our best efforts, AI-assisted outputs may contain inaccuracies or omissions. You agree to use them as one input among others when making executive decisions.

3. Acceptable use

Do not attempt to access non-public areas of the Services, interfere with security controls, or scrape data.
Do not submit information that is unlawful, infringing, or that you are not authorized to share.
Do not use the Services to develop a competing product or to train third-party AI models.

4. Intellectual property

The Nexum name, logo, methodology, scoring framework, written content, and downloadable reports are the property of Nexum Finance & AI. Personal reports generated for you may be used internally by your organization; redistribution outside your organization requires written consent.

5. Third-party services

The Services integrate with third-party platforms (HubSpot, Calendly, Supabase, Resend). Your use of those platforms is subject to their respective terms. Nexum is not responsible for third-party availability or practices outside its control.

6. Disclaimers & limitation of liability

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by Canadian law, Nexum disclaims all implied warranties and shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Services. Nothing in these Terms limits liability that cannot be limited by law.

7. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of Ontario have exclusive jurisdiction over any dispute arising from these Terms.

8. Changes

We may update these Terms periodically. Material changes will be communicated through this page; continued use of the Services after the effective date constitutes acceptance.
